My CPA cousin told me to stop signing vendor contracts without this one clause
I was at a family cookout in Boise on Saturday and my cousin who does tax and contract work for a living asked how my roofing company handles subcontractor agreements. I told her I usually just sign whatever the supplier or sub sends over, and she flat out said that's how small businesses get burned on payment disputes. She showed me a clause about attorney fees and venue that she said costs nothing to ask for but can save you $5,000 or more if a fight ever goes to court. The part that hit me was when she said most people never read past the price and scope, so they miss who pays legal costs when things go sideways. I looked at the last three contracts in my truck and none of them had it. Anybody here ever added that language to an existing vendor deal, or do you just wait for the next renewal?
